1. Scope
These terms govern proposals, deposits, subscriptions and services supplied by MAGRELIX LLC, trading as NorthyByte — Web & Automation (“NorthyByte”, “we”, “us”). A written proposal or statement of work may add project-specific terms; if there is a conflict, the signed project document controls for that project.
2. Services and approvals
We provide the services described in the confirmed scope, which may include strategy, design, copy guidance, development, integrations, automation and support. The client is responsible for timely access, accurate information, approvals and rights to supplied content. Delays in client feedback may move the delivery date.
3. Fees and payment
Prices are quoted in the currency shown at checkout or in the proposal. Unless the proposal says otherwise, work begins after the agreed deposit or first payment is received. Stripe may process the payment and send receipts; its separate terms and privacy notice also apply to the payment interface.
4. Changes and additional work
Requests outside the confirmed scope, new integrations, extra languages, new pages, content production or additional revision rounds may be quoted separately. We will seek written approval before materially increasing the fee.
5. Delivery and acceptance
We will provide the agreed deliverables for client review. A deliverable is accepted when the client confirms approval or uses it in production. Minor corrections that bring the work into line with the agreed brief are handled during the included revision period, if one is stated in the proposal.
6. Intellectual property
After all project fees are paid, the client receives the rights expressly granted in the proposal for the final deliverables. NorthyByte retains ownership of pre-existing tools, reusable components, know-how and third-party materials, subject to the licences that apply to them. The client confirms it has permission to use materials it supplies.
7. Third-party services
Hosting, domain registrars, Stripe, WhatsApp, analytics, CRM and other third-party services are controlled by their providers. We are not responsible for outages, policy changes or fees imposed by those providers.
8. Cancellation and suspension
Either party may request a pause or cancellation in writing. Fees for work already performed, approved expenses and non-cancellable third-party costs remain payable. We may suspend work for overdue invoices, missing access or unlawful instructions.
9. Warranties and liability
We will perform services with reasonable care and skill. Except where the law does not permit limitation, NorthyByte is not liable for indirect or consequential loss, lost profits, or failures caused by client content or third-party services. Nothing in these terms excludes liability that cannot legally be excluded.
10. Governing law
These terms are subject to the law and courts identified in the signed proposal or, if none is stated, the law applicable to MAGRELIX LLC’s registered business location.
